These Terms and Conditions ("Terms") govern your access to and use of the Ember platform and website operated by RA Ventures LLC (d/b/a Ember). By accessing or using the Services, you agree to be bound by these Terms.
Ember provides an AI-powered investment research platform ("Services"). Access to the full platform requires execution of a separate Master Services Agreement. These Terms govern your use of the website and any trial or pre-contract access to the platform.
Ember is a research productivity tool, not a registered investment adviser. Nothing generated by the platform constitutes investment advice, a recommendation to buy or sell any security, or a solicitation of any investment. Users are solely responsible for their own investment decisions. Ember makes no representations as to the accuracy, completeness, or fitness for purpose of any AI-generated output.
You agree not to: use the Services for any unlawful purpose or in violation of applicable regulations; upload content that infringes third-party intellectual property rights or violates confidentiality obligations; attempt to reverse engineer, copy, or resell any part of the platform; use the Services to develop a competing product; or share account credentials or permit unauthorized access.
You retain ownership of any data or content you upload to the platform. By uploading content, you represent that you have the right to do so and that such content does not violate any applicable law or third-party rights. Ember has no obligation to screen uploaded content and bears no liability for its nature or legality.
All rights in the Ember platform, brand, and any proprietary content we produce are owned by RA Ventures LLC. Nothing in these Terms grants you any ownership interest in the Services or our intellectual property.
Our collection and use of personal information is governed by our Privacy Policy, available at emberapp.io/privacy, which is incorporated into these Terms by reference.
The Services are provided "as is" without warranty of any kind. Ember does not warrant that the Services will be uninterrupted, error-free, or that AI-generated outputs will be accurate or complete. To the fullest extent permitted by law, Ember disclaims all warranties, express or implied.
To the fullest extent permitted by law, Ember's aggregate liability to you shall not exceed $500 USD or the amount you paid to Ember in the three (3) months preceding the claim, whichever is greater. Ember shall not be liable for any indirect, consequential, incidental, or punitive damages.
You agree to defend, indemnify, and hold harmless Ember from any claims, losses, or damages arising from your use of the Services, your uploaded content, or your violation of these Terms.
Ember may modify these Terms or the Services at any time. We will provide reasonable notice of material changes. Continued use of the Services following notice constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the State of New York. Any dispute arising under these Terms shall be resolved by binding arbitration in New York, NY under the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction. You waive any right to participate in a class action proceeding.
